Welcome to The APO.CO! These Terms of Service govern your use of the services offered through our website (www.theapo.co), owned and operated by APO.CO, based in Ontario, Canada. By engaging our services, you agree to be bound by these Terms of Service.

1. Definitions

1.1 “Client” refers to the individual or business entity engaging with APO.CO for services.

1.2 “Services” refers to the Business Transformation Program, POC Accelerator Program, and Growth & Support Subscription offered by APO.CO.

1.3 “Agreement” refers to these Terms of Service, the client agreement (if applicable), and any other policies referenced herein.

2. Scope of Services

2.1 APO.CO provides professional business consulting and implementation services as outlined on our Services page.

2.2 Services are tailored to meet the specific needs of each client as defined during the engagement.

3. Client Responsibilities

3.1 Provision of Information: The Client agrees to provide accurate and complete information necessary for APO.CO to perform the Services.

3.2 Timely Communication: The Client must ensure prompt responses to APO.CO’s requests for input, feedback, or approvals.

3.3 Collaboration: Success depends on collaboration. The Client is responsible for engaging in workshops, strategy sessions, or any other required interactions as part of the service delivery process.

3.4 Adhere to Payment Terms: The client must pay for services according to the agreed-upon payment schedule without delay.

3.5 Compliance: The client must ensure that their business complies with relevant laws, regulations, and industry standards throughout the engagement.

3.6 Payment for Subscription Tools: The client is responsible for the payment of any subscription or ongoing fees for tools, software, or systems implemented as a result of the service provided. APO.CO will ensure that the client is informed of any necessary subscriptions, but the client is responsible for managing and maintaining these payments directly with the respective service providers.

4. APO.CO Responsibilities

4.1 Service Delivery: APO.CO will perform the Services as described in the engagement agreement, following industry best practices and aligning with the objectives established during strategy sessions.

4.2 Confidentiality: APO.CO will maintain the confidentiality of all Client-provided information, as detailed in our Privacy Policy.

4.3 Compliance: APO.CO operates in compliance with the applicable laws of Ontario, Canada.

4.4 Provide Clear Billing and Invoices: APO.CO will provide clear, accurate billing and invoices, outlining the services rendered and any additional costs incurred.

5. Payment Terms

5.1 Payment for Services must be made as agreed upon in the specific engagement or subscription agreement.

5.2 All fees are in Canadian Dollars (CAD) and may be subject to applicable taxes.

6. Refunds and Cancellations

6.1 One-Time Project Type

  • Refunds: Refunds are not available once the project has begun, as the work is customized to your business. However, we encourage open communication throughout the process to ensure the project meets your expectations. If needed, we will work with you to adjust the deliverables.

  • Cancellations: Cancellations are not allowed after the project starts. If you need to pause or adjust the scope, please contact us immediately, and we will review your request based on the project timeline.

6.2 Subscription Type

  • Refunds: Refunds are not available for services rendered within a billing cycle. If you are dissatisfied, we will work with you to resolve any issues and ensure you’re happy with the results.

  • Cancellations: You may cancel your subscription at any time with 30 days' notice. Cancellations will take effect at the end of your current billing cycle. For best results, we recommend a minimum commitment of 3 months to fully benefit from the service.

  • Ongoing Support: If you cancel, we will assist with transitioning responsibilities and provide documentation for a smooth handover of tasks, systems, and processes.

6.3 APO.CO reserves the right to terminate or suspend services if a Client fails to fulfill their responsibilities under this Agreement.

7. Limitation of Liability

7.1 No Liability for Indirect Damages: APO.CO will not be held liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the services, including but not limited to loss of revenue, data, or business opportunities.

7.2 APO.CO’s total liability, in any case, will not exceed the fees paid by the Client for the specific service in question.

7.3 No Responsibility for Client's Third-Party Agreements: APO.CO is not responsible for any agreements the client enters into with third-party vendors, including any tools, subscriptions, or services implemented as a part of the project.

7.4 Third-Party Service Availability: APO.CO does not guarantee that the services will be uninterrupted, error-free, or meet the client's expectations. We make reasonable efforts to ensure service reliability, but technical issues or unforeseen events may cause service disruptions.

7.5 Client Responsibility for Data and Security: The client is responsible for maintaining the security and integrity of their data and systems. APO.CO will not be liable for any data loss or breach resulting from actions taken by the client or third parties.

7.6 Force Majeure: APO.CO will not be held liable for any delays or failure to perform its obligations due to events or circumstances beyond our control, including but not limited to natural disasters, government actions, pandemics, acts of God, or disruptions in the supply chain.

8. Intellectual Property

8.1 All tools, templates, frameworks, or other resources provided by APO.CO during service delivery remain the intellectual property of APO.CO and may not be reproduced, resold, or distributed without prior consent.

9. Governing Law and Dispute Resolution

9.1 These Terms of Service shall be governed by and construed in accordance with the laws of Ontario, Canada.

9.2 Any disputes arising out of or in connection with these Terms will first be addressed through good-faith negotiations. If unresolved, disputes may be submitted to binding arbitration in Ontario.

10. Confidentiality

10.1 APO.CO will not disclose any confidential information obtained from the Client without prior written consent, except as required by law or necessary to deliver the agreed services.

11. Modifications to Terms of Service

11.1 APO.CO reserves the right to update or modify these Terms of Service at any time. Clients will be notified of significant changes.
